Participation and Attendance
Participation, attendance, service provision, or engagement with any event hosted or managed by Repucom MICE (Pty) Ltd (“the Organiser”) is entirely voluntary and undertaken at the individual’s own risk. The event period is defined as beginning the moment a guest enters the event space and ending only when the guest leaves the event space to return to their point of origin.

Indemnity
By attending or participating in the event (“the Event”), all participants, guests, suppliers, contractors, and service providers (“the Indemnifying Party”) acknowledge and accept full responsibility for their own safety and wellbeing.
The Organiser, its directors, employees, partners, agents, suppliers, sponsors, venue operators, and venue owners shall not be held liable for any injury, loss, damage, death, theft, or claim of any nature arising before, during, or after the Event, regardless of cause, including negligence, equipment failure, environmental conditions, venue conditions, third-party actions, or crowd behaviour.
The Indemnifying Party indemnifies and holds the Organiser harmless against all claims, actions, demands, liabilities, losses, damages, costs or expenses (including legal fees) arising directly or indirectly from:
• Their attendance or participation.
• Their actions, omissions, or conduct.
• Their equipment, property, services, or materials.
• Any injury, loss, or damage caused to themselves, third parties, the venue, or event property.
This indemnity remains in force after the Event ends.

Assumption of Risk
All attendees confirm they are medically fit, understand inherent risks associated with events, activations, and gatherings, and voluntarily assume all such risks.

No Refund Policy
All ticket purchases are final. No refunds will be issued for any reason.
Tickets are transferable, provided the request is made in writing via email to the Organiser prior to the Event. The Organiser may require verification or additional details before approving a transfer.

Ticket Transfers
Ticket transfers must be requested via email. Once approved, the Organiser will update records accordingly. Transfer approval is not guaranteed and may be declined if requested too close to the Event, at the Organiser’s discretion.

Force Majeure
The Organiser shall not be liable for any delay, postponement, alteration, or cancellation of the Event arising out of circumstances beyond its reasonable control (“Force Majeure Events”).
Force Majeure Events include, but are not limited to:
• Acts or directives of government or authorities
• Changes to laws or regulations
• Civil unrest, riots, insurrection, sabotage, or acts of war
• Strikes, lockouts, or industrial action
• Flood, storm, fire, natural disaster, epidemic, pandemic, or quarantine restrictions
• Disruptions to utilities, transport, supply chains, or essential services
If a Force Majeure Event occurs, performance of obligations is suspended for the duration of the impact. Payment obligations are not excused under Force Majeure.

Terms and Conditions of Service (Client Work)
All commercial work and services provided by Repucom MICE (Pty) Ltd (“the Company”) are subject to the following terms:
a. Changes: Any changes to scopes, proposals, or cost estimates must be agreed in writing and may result in revised fees and extended timelines.
b. Data and Materials: All data, analysis, methodologies, and outputs remain the sole property of the Company unless otherwise agreed in writing.
c. Pricing: All prices exclude VAT and remain valid for 30 days unless stated otherwise.
d. Payment: Work may be withheld for overdue payments. Interest may be charged on outstanding amounts at the prevailing prescribed rate, compounded monthly or quarterly.
e. Copyright: Copyright in reports and materials is shared between the Company and the client. The Company may use report content for internal or marketing purposes unless restricted by written agreement.
f. Disclaimer and Liability: While due care is taken, the Company does not guarantee accuracy of information and is not liable for any direct, indirect, incidental, punitive, or consequential damages. Total liability is limited to the fees paid.
g. Confidentiality: All exchanged information remains confidential for five years after termination, unless disclosure is required by law.
h. Non-Solicitation: Neither party may solicit or hire the other party’s employees for 12 months after the agreement without written consent.
i. Cancellation of Contracted Services: Should a client cancel a service agreement, three months’ prior written notice is required. Failure to provide notice will result in a cancellation fee equal to three months of the contracted value.
j. Dispute Resolution: Disputes are to be resolved by arbitration in Johannesburg under AFSA rules.
k. Governing Law: South African law applies exclusively.

General
If any provision within these policies is found unenforceable, the remaining provisions remain in full effect. These policies constitute the full agreement between the Parties and supersede all prior discussions or representations.Repucom MICE (Pty) Ltd

The event period is formally defined as commencing at the moment a guest enters the designated event space and concluding only when the guest exits the event space to return to their point of origin. -
Indemnity
By attending or participating in the event (hereinafter referred to as “the Event”), all participants, guests, suppliers, contractors, and service providers (hereinafter referred to as “the Indemnifying Party”) acknowledge and accept full responsibility for their own safety and wellbeing.
The Organiser, its directors, employees, partners, agents, suppliers, sponsors, venue operators, and venue owners shall be held harmless and shall not be liable for any injury, loss, damage, death, theft, or claim of any nature whatsoever arising before, during, or after the Event, irrespective of the cause, including but not limited to negligence, equipment failure, environmental conditions, venue conditions, actions of third parties, or crowd behaviour.
The Indemnifying Party hereby indemnifies and holds the Organiser harmless against all claims, actions, demands, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising directly or indirectly from:-
Their attendance or participation.

Their equipment, property, services, or materials.

Any injury, loss, or damage caused to themselves, third parties, the venue, or event property.

This indemnity shall remain in full force and effect subsequent to the conclusion of the Event.

All attendees confirm that they are medically fit to participate, possess an understanding of the inherent risks associated with events, activations, and gatherings, and voluntarily assume all such risks. -
No Refund Policy
All ticket purchases are deemed final. No refunds shall be issued for any reason whatsoever.
Tickets are transferable, provided that a formal request is submitted in writing via email to the Organiser prior to the Event. The Organiser reserves the right to require verification or additional details before granting approval for a transfer. -
Ticket Transfers
Requests for ticket transfers must be formally submitted via email. Upon approval, the Organiser shall update relevant records accordingly. Approval for transfer is not guaranteed and may be declined, at the Organiser’s sole discretion, particularly if the request is submitted in close proximity to the Event date. -
Force Majeure
The Organiser shall not be held liable for any delay, postponement, alteration, or cancellation of the Event arising out of circumstances beyond its reasonable control (hereinafter referred to as “Force Majeure Events”).
Force Majeure Events include, but are not limited to:-

Terms and Conditions of Service (Client Work)
All commercial work and services provided by Repucom MICE (Pty) Ltd (hereinafter referred to as “the Company”) are subject to the following formal terms:
a. Changes: Any amendments or variations to scopes of work, proposals, or cost estimates must be mutually agreed upon in writing and may necessitate revised fees and extended timelines.
b. Data and Materials: All data, analysis, methodologies, and outputs generated shall remain the sole and exclusive property of the Company unless otherwise expressly agreed upon in writing.
c. Pricing: All stated prices are exclusive of Value Added Tax (VAT) and shall remain valid for a period of thirty (30) days unless explicitly stated otherwise.
d. Payment: The Company reserves the right to withhold work or deliverables in the event of overdue payments. Interest may be levied on outstanding amounts at the prevailing prescribed rate, compounded monthly or quarterly.
e. Copyright: Copyright in reports and materials shall be shared between the Company and the client. The Company is permitted to utilise report content for internal or marketing purposes unless such use is restricted by a written agreement.
f. Disclaimer and Liability: While all due care and professional skill are exercised, the Company does not warrant the absolute accuracy of information and shall not be held liable for any direct, indirect, incidental, punitive, or consequential damages. Total liability shall be strictly limited to the fees paid for the specific services rendered.
g. Confidentiality: All information exchanged between the parties shall remain confidential for a period of five (5) years subsequent to the termination of the agreement, unless disclosure is mandated by law.
h. Non-Solicitation: Neither party shall solicit or hire the other party’s employees for a period of twelve (12) months following the termination of the agreement without the prior written consent of the other party.
i. Cancellation of Contracted Services: Should a client elect to cancel a service agreement, a minimum of three (3) months’ prior written notice is formally required. Failure to provide the requisite notice shall result in a cancellation fee equivalent to three months of the contracted value.
j. Dispute Resolution: Disputes arising hereunder shall be finally resolved by arbitration in Johannesburg, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
k. Governing Law: The laws of the Republic of South Africa shall apply exclusively to these terms. -
General
Should any provision within these policies be determined to be unenforceable, the remaining provisions shall nevertheless continue to remain in full force and effect. These policies collectively constitute the entire agreement between the Parties and supersede all prior discussions or representations, whether oral or written.
